1. Introduction

The Verizon Games on Demand Show Us Your Style Sweepstakes ("the Sweepstakes"), is sponsored by Exent Technologies Inc., operator of Verizon Games on Demand (the "Promoter"), whose main place of business is located at 685 Market Street, Suite 560, San Francisco, CA 94105 and contact person's e-mail address is playwin@us.exent.com and telephone number is 415-227-9815.

2. Sweepstakes Period

The Sweepstakes begins at 12:00 midnight PST on Monday, November 16, 2009 (the "Start Date") and ends at 11:59pm PST on Friday, January 22, 2010 (the "Expiration Date") (the time from the Start Date to the Expiration Date is referred to herein as the "Sweepstakes Period"). An online entry must be received during the Sweepstakes Period, and a mail-in entry must be postmarked no later than the Expiration Date and must be received no later than within 5 days after the Expiration Date. Any entry (whether online or mail-in) received prior to the Start Date will not be considered. There are three phases with respect to the Sweepstakes - as set forth below:

·         Phase One – Submission of entries: throughout the Sweepstakes Period.  

·         Phase Two – Draws and Public Voting: Starts at 12:00 midnight PST on Tuesday, January 26, 2010, and ends at 11:59pm PST on Wednesday, February 10, 2010.

·         Phase Three – Announcement of the Grand Prize winner: at 12:00pm PST on Friday, February 12, 2010. 

3. Eligibility

The Sweepstakes is only open to legal residents of the United States and the District of Columbia (excluding Florida, New York and Rhode Island) aged 13 years or older on the date of entry (herein referred to as "Entrant" or "you"). Employees, officers, directors and immediate family members of Verizon Services Corp. ("Verizon"), of the Promoter and those of Verizon's and of Promoter's affiliates, parent companies and subsidiaries are not eligible to participate in the Contest. VOID IN: FLORIDA, NEW YORK AND RHODE ISLAND, OUTSIDE THE UNITED STATES, WHERE PROHIBITED AND WHERE REGISTRATION IS REQUIRED.

4. Agreement to Official Rules

By participating in the Sweepstakes you agree to be bound by all terms and conditions of these Official Rules and agree to the decisions of the Promoter, which are final and binding in all matters relating to the Sweepstakes. Your entry is deemed as confirmation of your acceptance of these Official Rules. If you object to or do not fully agree with any of these Official Rules, please do not participate in the Sweepstakes.

5. How to Participate in the Sweepstakes and How to Win

Phase One – Submission of entries

Entries for participation in the Sweepstakes may be in either of the following manners:

- If you have a Verizon Games on Demand community profile: Enter the online webpage at http://gamesondemand.show-us-your-style.sgizmo.com and complete and submit the online entry form and design the avatar online - during the Sweepstakes Period. Your submission must include your Verizon user name, a valid email address, and the community nickname that is linked to your Verizon Games on Demand community profile. In any event of a dispute regarding the identity of the Entrant participating in the online Sweepstakes, the entry will be deemed to have been made by the person who is at the time of entry the authorized primary account holder of the Verizon Games on Demand account by which the relevant entry was submitted. Authorized primary account holder is defined as the natural person who is registered in Verizon's records as the primary account owner.

- If you do not have a Verizon Games on Demand community profile: Send a 3.5" x 5.5" postcard, clearly stating your full name, date of birth, mailing address (including also city, state, zip code), telephone number and valid email address (if applicable), to the Promoter's address listed in section 1 above, and in the postcard state that you wish to participate in the Verizon Games on Demand Show Us Your Style Sweepstakes. Your mail-in entry must be postmarked no later than the Expiration Date and must be received no later than within 5 days after the Expiration Date. Upon receipt of your valid mail-in entry, the Promoter will generate a random avatar and enter it into the Sweepstakes on your behalf.

A person may send as many entries as he or she wishes, but such person acknowledges that he or she may not win more than one (1) Prize.

Entries will not be expressly acknowledged. The entries belong exclusively to the Promoter and will not be returned. An entry that is incomplete, damaged, late, lost, misdirected, illegible, improperly submitted, or that contains certain viruses, worms or other harmful content, or that does not conform to these Official Rules in any respect will not be considered.

The Promoter reserves the right to edit, reject or remove any submitted material on the basis of it being - in Promoter's sole discretion - inappropriate. Without limiting the aforesaid, a submitted avatar must not contain material that promotes bigotry, racism, hatred and/or discrimination of any sort.

Phase Two – Draws and Public Voting

First Draw: Ten (10) semi-finalists ("Semi-Finalists") will be selected from all eligible entries, in a random draw, after conclusion of the Sweepstakes Period and the time for entries to be received – but no later than 11:59pmPST on Friday, January 22, 2010. Odds of being drawn as a Semi-Finalist depend on the number of eligible entries received. Promoter will notify each Semi-Finalist, in writing, of his or her selection as a Semi-Finalist. The notification may contain terms and conditions which shall apply to the Semi-Finalist’s participation in the Second Draw (the "Terms and Conditions") and provide an opportunity for the Semi-Finalist to respond to the notification by a specified date and accept or reject the Terms and Conditions. If by the specified date a Semi-Finalist did not reject the Terms and Conditions, he or she will be included in the Second Draw. If by the specified date a Semi-Finalist rejected the Terms and Conditions, he or she will be automatically disqualified from the Sweepstakes and will not be included in the Second Draw. The Promoter will have the option, but not be required, to select an alternate Semi-Finalist to replace a disqualified Semi-Finalist, and such replacement Semi-Finalist will likewise be required to agree to the Terms and Conditions as a condition of being included in the Second Draw.

Promoter will post the list of Semi-Finalists who are to be included in the Second Draw, on the webpage at http://img1.exent.com/Prem/marketing/verizon/shegames/weeklyWinnerExternal.html, no later than 11:59pm PST on Monday, January 25, 2010 (the "Semi-Finalists Publication Day").

Second Draw: The primary winner, who shall be entitled to the Grand Prize, will be selected from the Semi-Finalists, in a random draw which shall occur on Thursday, February 11, 2010. Odds of being drawn in the Second Draw as the winner are one to ten.

Public Voting: As from the Semi-Finalists Publication Day until 11:59pm PDT on Wednesday, February 10, 2010 (the "Voting Period"), any members of the public (including participant's friends and family members) will have an opportunity to vote for the Semi-Finalist who they feel is most deserving of the Grand Prize (as described below). Semi-Finalists are not required to cast a vote, but may do so at their own choosing. A person who wants to vote has to go online to http://gamesondemand.verizon.net/shegames/vote.html during the Voting Period and follow the relevant instructions on screen. A person who wishes to vote will be asked to provide basic contact information, including his or her full name, age, and active email address. A person may vote as often as he or she likes.

The Semi-Finalist who receives most votes by the end of the Voting Period, will be announced as such on the webpage at http://img1.exent.com/Prem/marketing/verizon/shegames/weeklyWinnerExternal.html, no later than 11:59pm PST on Friday, February 12, 2010, and may, at Promoter's sole discretion, receive virtual tokens from Promoter.  

Phase Three – Announcement of the Grand Prize Winner

The primary winner, entitled to the Grand Prize (the "Grand Prize Winner"), will be announced on the webpage at http://img1.exent.com/Prem/marketing/verizon/shegames/weeklyWinnerExternal.html, on 11:59pm PST on Friday, February 12, 2010.

6. Prohibition on Automated Entries and Automated Votes

Entries and/or votes produced by automated, programmed or mechanical devices or methods are not permitted and will be disqualified.

7. Winners: the Semi-Finalists and Grand Prize Winner

Each Semi-Finalist and the Grand Prize Winner will be notified by e-mail (or - when e-mail is not applicable - by mail) and will be required to complete, sign and return to Promoter, within five (5) business days from the day of notification from Promoter (excluding such day), unless the Promoter expressly waives such requirement, an Affidavit of Eligibility, a Release of Liability and, if legally permissible, a Publicity Release. If for any reason a Semi-Finalist / the Grand Prize Winner fails to fulfill said requirements, the Prize applicable to him or her will be forfeited and awarded to an alternate winner. If a Semi-Finalist / the Grand Prize Winner is deemed a minor in the state of his/her residence, the aforesaid documents will be completed and signed by his/her parent/legal guardian and the Prize may be awarded in the name of the parent/legal guardian. An alternate winner will be selected also if the name and/or e-mail or mail address of the person initially selected as a winner cannot be identified for any reason, if such person is found to be ineligible or fails to comply with these Official Rules or if the Prize or notification thereof is returned undeliverable. Prizes will be sent via e-mail (or - when e-mail is not applicable - by mail). Promoter assumes no responsibility for undeliverable e-mails resulting from any active or passive e-mail filtering by the winner's Internet service provider and/or insufficient space in the winner's e-mail account to receive e-mail. By entering the Sweepstakes and/or accepting the Prize, the Entrant acknowledges and agrees that the Prizes are awarded on an “AS IS” basis and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

8. Winners list

The names of the winners may be obtained within 30 days of the announcement of the Grand Prize Winner by sending a request for the Sweepstakes winners list together with a self-addressed stamped envelope to the Promoter's address stated above or by visiting the following url: http://img1.exent.com/Prem/marketing/verizon/shegames/weeklyWinnerExternal.html.

9. Prizes

The prizes are the following, as applicable (the "Prize"):

* For the Grand Prize Winner -  a one thousand US Dollars (US$1,000.00) macys.com gift certificate ("the Grand Prize").

* For each Semi-Finalist - a fifty US Dollars (US$50.00) macys.com gift certificate.

ALL FEDERAL, STATE, AND LOCAL TAXES AND FEES, INCLUDING INCOME TAX, SALES TAX AND LICENSE FEES, AND ANY OTHER EXPENSES ARISING OUT OF THE RECEIPT AND USE OF A PRIZE, ARE SOLELY THE RESPONSIBILITY OF THE WINNER (OR HIS/HER PARENT OR LEGAL GUARDIAN, AS APPLICABLE). ANY DIFFERENCE BETWEEN THE STATED ESTIMATED VALUE OF A PRIZE AND ITS ACTUAL VALUE WILL NOT BE AWARDED. WINNER AGREES TO ACCEPT PRIZE AS IS”.

The Prize is subject to the terms, conditions and restrictions provided with the gift certificate. A winner may not substitute, assign or transfer a Prize or redeem a Prize for cash, but Promoter reserves the right to substitute a Prize with a prize of equal or greater value.

10. Internet

If for any reason the online Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, uploads of malicious files or viruses, or any other cause beyond the reasonable control of Promoter which corrupts or affects the administration, security, fairness, integrity or proper conduct of the online Sweepstakes, Promoter reserves the right to disqualify any entry or any individual who tampers with the entry process and seek any legal action against such individual, and to cancel, terminate, modify or suspend the Sweepstakes altogether and select a winner from all eligible, non-suspect entries received up to the date of termination (if any). Promoter assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Promoter is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to Entrant's or any other person's computer relating to or resulting from participation in the Sweepstakes or downloading any materials in the Sweepstakes. CAUTION: ANY ATTEMPT BY ANY PERSON(S) TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, PROMOTER RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Privacy

Except where prohibited by law or where the law requires the winner's consent and it was not given - by accepting a Prize, winner agrees that Promoter, Verizon and their affiliated companies may use the winner's name, address (city and state) and/or Prize information for publicity and promotional purposes, and grants to Promoter, Verizon and their affiliated companies any and all rights to said use without further notice and/or compensation.

12. Release of Liability

Except where prohibited by law, by submitting an entry to the Sweepstakes all Entrants, including the winners, agree to release and hold harmless Promoter, Verizon and their subsidiaries and other affiliates, and their shareholders, directors, officers, employees, representatives and agents (the "Released Parties") from and against any liability, claims, losses, damages and proceedings (including reasonable attorneys' fees) arising in whole or in part, directly or indirectly, from or with relation to participation in the Sweepstakes, or acceptance, use or misuse of a Prize, including human or technical errors, personal injury, death, damages, or monetary loss, and the risks of travel for Prize delivery. IN NO EVENT WILL PROMOTER AND/OR ANY OF THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THESWEEPSTAKES.

13. Laws and Venue of Jurisdiction

The Sweepstakes is subject to all applicable federal, state and local laws and regulations. The state or federal courts in California shall have sole and exclusive jurisdiction over any dispute relating to the Sweepstakes and/or these Official Rules.
